(1) If a corporation commits an offence against this Part and it is proved that the offence occurred with the knowledge and consent of an officer of the corporation, or a person purporting to act as an officer of the corporation, that person, as well as the corporation, commits the offence.(2) If the affairs of a corporation are managed by its members, subsection (1) applies in relation to the acts and defaults of a member in connection with the member's functions of management as if the member were an officer of the corporation.
